  5.      THIS SOFTWARE PRODUCT IS A PROPRIETARY PRODUCT OF CHILDRENBROWSER.COM 
  6.      & eCAPITAL GROUP, INC. AND IS PROTECTED BY COPYRIGHT LAWS.  THE  SOFTWARE  
  7.      IS LICENSED BY CHILDRENBROWSER.COM & eCAPITAL GROUP, INC. TO YOU FOR YOUR 
  8.      USE STRICTLY IN ACCORDANCE WITH THE FOLLOWING TERMS AND CONDITIONS.  THIS 
  9.      AGREEMENT SUPERSEDES ANY PREVIOUS AGREEMENTS WITH CHILDRENBROWSER.COM & 
  10.      eCAPITAL GROUP, INC.
  11.  
  12. LICENSE - YOU MAY:
  13.      1. Install ChiBrow (hereinafter referred to as "Software")
  14.         on one computer. 
  15.  
  16. PROHIBITED USES - YOU MAY NOT:
  17.      1. Loan or rent the software or software documentation. 
  18.      2. Otherwise transfer or use, copy or merge the software, in whole or in
  19.         part, except as expressly permitted in this license. 
  20.      3. Modify, de-compile, disassemble, reverse engineer or translate the 
  21.         software. 
  22.      4. Reproduce, modify or translate the software documentation. 
  23.      5. Remove any proprietary notices, labels or marks on the software or 
  24.         software documentation. 
  25.      6. Bundle the software for resale with other Products without prior
  26.         written approval from CHILDRENBROWSER.COM & eCAPITAL GROUP, INC.
  27.  
  28.      IF YOU DO ANY OF THE FOREGOING, YOUR LICENSE AND THIS AGREEMENT ARE 
  29.      AUTOMATICALLY TERMINATED. SUCH TERMINATION SHALL BE IN ADDITION TO 
  30.      AND NOT IN LIEU OF ANY CRIMINAL, CIVIL, OR OTHER REMEDIES AVAILABLE
  31.      TO CHILDRENBROWSER.COM & eCAPITAL GROUP, INC.
  32.  
  33. TERM:
  34.      You may terminate your License and this Agreement at any time by 
  35.      destroying the Software and Software documentation together with all 
  36.      copies in any form. The License and this Agreement will also terminate
  37.      automatically if you fail to comply with any term or condition of this
  38.      Agreement, in which event you agree to destroy the Software and Software
  39.      documentation together with all copies in any form, and to provide us
  40.      upon our request with written certification of such destruction.

  42. LIMITED WARRANTY/LIMITATION OF REMEDIES:
  43.      EXCEPT AS SPECIFICALLY STATED IN THIS AGREEMENT, THE SOFTWARE AND 
  44.      SOFTWARE DOCUMENTATION IS PROVIDED AND LICENSED "AS IS" WITHOUT WARRANTY
  45.      OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE
  46.      IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR 
  47.      PURPOSE. IN NO EVENT WILL CHILDRENBROWSER.COM & eCAPITAL GROUP, INC.  
  48.      BE LIABLE TO YOU FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS 
  49.      OR REVENUES, LOSS OF DATA, BUSINESS INTERRUPTION LOSS, RECOVERY OR SUBSTITUTION 
  50.      COSTS, OR CLAIMS BY THIRD PARTIES, OR OTHER INDIRECT INCIDENTAL OR CONSEQUENTIAL
  51.      DAMAGES, ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE,
  52.      EVEN IF CHILDRENBROWSER.COM & eCAPITAL GROUP, INC.  HAS BEEN ADVISED OF THE 
  53.      POSSIBILITY OF SUCH DAMAGES. IN NO CASE SHALL CHILDRENBROWSER.COM & eCAPITAL 
  54.      GROUP, INC. LIABILITY EXCEED THE AMOUNT OF THE LICENSE FEE PAID BY YOU FOR THE SOFTWARE. 
  55.      This limited warranty gives you specific legal rights. Some jurisdictions
  56.      provide other rights, and some jurisdictions do not allow the exclusion
  57.      or limitation of implied warranties or limitation of liability for 
  58.      incidental or consequential damages. As a result, the above limitations
  59.      and/or exclusions may not apply to you.

  61. U.S. GOVERNMENT RESTRICTED RIGHTS:
  62.      The Software and Software documentation are provided with Restricted and
  63.      Limited Rights. Use, duplication or disclosure by the Government is 
  64.      subject to restrictions as set forth in DFAR ß252.227-7013(c)(1)(ii) or
  65.      FAR ß2.227-19, as applicable, and additional restrictions set forth in
  66.      this Agreement. Contractor/ Manufacturer is  
  67.      CHILDRENBROWSER.COM & eCAPITAL GROUP, INC., 
  68.      2262 North First Street, San Jose CA  95131.

  70. GENERAL:
  71.      This Agreement is governed by the laws of the State of California. The 
  72.      prevailing party in any action or proceeding brought in connection with
  73.      a breach of this Agreement will be entitled to reimbursement by the other
  74.      party for costs and reasonable attorneys' fees. Any questions concerning
  75.      this Agreement should be referred in writing to
